TurtlesEgg Terms of Use for Customers and Marketplace Users

IMPORTANT: THESE TERMS CONTAIN AN INDIVIDUAL BINDING ARBITRATION AGREEMENT, CLASS AND REPRESENTATIVE ACTION WAIVER, AND JURY TRIAL WAIVER. PLEASE REVIEW SECTION 34 CAREFULLY.

These TurtlesEgg Terms of Use ("Terms") are a binding agreement between Turtles Egg Inc., a Florida corporation that operates the TurtlesEgg Marketplace, including TurtlesEgg.com ("TurtlesEgg," "we," "us," or "our"), and each person who accesses or uses the Marketplace as a customer, buyer, booking customer, account holder, visitor, or other non-Seller user ("Customer," "Buyer," "you," or "your").

"Marketplace" means TurtlesEgg.com, TurtlesEgg websites and subdomains, mobile applications, checkout systems, Booking systems, customer account services, integrations, and related marketplace services owned or operated by Turtles Egg Inc. under the TurtlesEgg brand.

By creating an account, accessing or using the Marketplace, placing an order, making a Booking, completing checkout, using TurtlesCash or a gift card, or otherwise using TurtlesEgg, you agree to these Terms.

UPDATES TO THESE TERMS: TurtlesEgg may update these Terms as provided in Section 29. Continued Marketplace use after an update becomes effective constitutes acceptance of the updated Terms as provided in Section 29. If you do not agree to an update, you must discontinue Marketplace use before the update becomes effective.

If you use TurtlesEgg as a Seller, merchant, vendor, service provider, or advertiser, that activity is also governed by the applicable TurtlesEgg Seller Terms of Service and Marketplace Agreement or other business-facing terms.

Notice regarding dispute resolution: These Terms include an agreement to resolve certain disputes through binding individual arbitration and include class, collective, mass, consolidated, representative action, and jury trial waivers. Please review Section 34.

1. Acceptance and Scope

These TurtlesEgg Terms of Use ("Terms") are a binding agreement between Turtles Egg Inc., a Florida corporation that operates the TurtlesEgg Marketplace, including TurtlesEgg.com ("TurtlesEgg," "we," "us," or "our"), and each person who accesses or uses the Marketplace as a customer, buyer, booking customer, account holder, visitor, or other non-Seller user ("Customer," "Buyer," "you," or "your").

"Marketplace" means TurtlesEgg.com, TurtlesEgg websites and subdomains, mobile applications, checkout systems, Booking systems, customer account services, integrations, and related marketplace services owned or operated by Turtles Egg Inc. under the TurtlesEgg brand.

By creating an account, accessing or using the Marketplace, placing an order, making a Booking, completing checkout, using TurtlesCash or a gift card, or otherwise using TurtlesEgg, you agree to these Terms.

If you use TurtlesEgg as a Seller, merchant, vendor, service provider, or advertiser, that activity is also governed by the applicable TurtlesEgg Seller Terms of Service and Marketplace Agreement or other business-facing terms.

2. Definitions

For purposes of these Terms:

  • "Booking" means an appointment, reservation, class, rental, professional service, personal service, or other Service scheduled or purchased through TurtlesEgg.
  • "TurtlesEgg Service Fee" means the mandatory TurtlesEgg customer service fee for a paid Booking, calculated as 5% of the Service Price and disclosed in the Booking price breakdown before payment.
  • "Buyer Protection" means the TurtlesEgg process described in Section 18 for administering eligible Marketplace transaction issues.
  • "Customer" or "Buyer" means a person purchasing or booking a Product or Service through TurtlesEgg or otherwise using the Marketplace as a non-Seller user.
  • "Marketplace" means TurtlesEgg.com, TurtlesEgg websites and subdomains, mobile applications, checkout systems, Booking systems, customer account services, integrations, and related marketplace services owned or operated by Turtles Egg Inc. under the TurtlesEgg brand.
  • "Product" means tangible merchandise offered through TurtlesEgg, including Products shipped to a Customer and Products provided through Local Pickup.
  • "Provider" means a Seller offering a Service or Booking through TurtlesEgg.
  • "Seller" means an independent merchant, vendor, service provider, or other approved business offering Products or Services through TurtlesEgg.
  • "Service" means a Booking or other service offered through TurtlesEgg.
  • "Service Price" means the price established for the booked Service, excluding the TurtlesEgg Service Fee and applicable taxes.
  • "TurtlesCash" means TurtlesEgg Marketplace credit governed by Section 21.

3. Parties and Marketplace Relationship

TurtlesEgg operates a marketplace through which independent Sellers may list and provide Products and Services to Customers.

Unless TurtlesEgg expressly states otherwise for a particular transaction, the Seller is the independent business providing the Product or Service and remains responsible for the Product or Service, including its listing, legality, accuracy, quality, condition, safety, fulfillment, delivery, performance, licensing, professional qualifications, and Seller-provided warranties.

For transactions completed through TurtlesEgg checkout, TurtlesEgg is the centralized Customer-facing payment administrator. TurtlesEgg may perform Merchant of Record responsibilities where applicable to its approved acquiring or payment arrangement and also acts as the Seller's limited payment collection agent for the purpose of receiving Customer payment for the applicable Marketplace transaction.

When TurtlesEgg properly receives your payment for a Marketplace transaction, your payment obligation to the Seller for that amount is satisfied. The Seller may not require duplicate payment from you for the same amount properly paid through TurtlesEgg. If a Seller requests duplicate or unauthorized off-platform payment, do not pay it and report the request to TurtlesEgg.

TurtlesEgg may administer checkout, payment authorization and capture, transaction confirmations, refunds, returns, payment adjustments, Buyer Protection reviews, Marketplace rules, fraud controls, product-safety actions, and customer support as described in these Terms. TurtlesEgg's payment-administration role does not eliminate the Seller's responsibility to provide and stand behind the applicable Product or Service.

4. Accounts, Eligibility and Verification

A TurtlesEgg account and successful account verification are required to complete a Marketplace purchase or Booking.

You must be legally able to enter into a binding agreement. If you are not legally able to do so on your own, a parent or legal guardian must authorize your use and accept these Terms on your behalf.

You must provide accurate and current account, contact, shipping, Booking, and payment-related information.

TurtlesEgg may use email verification, phone verification, one-time passwords (OTP), reauthentication, device verification, or other reasonable verification measures to protect accounts and transactions.

You are responsible for protecting your account credentials and verification codes. Do not share passwords or OTP codes. Do not provide Local Pickup or Booking completion codes before the Product or Service has been provided as described in these Terms.

5. Trust, Safety and Prohibited Conduct

You may use the Marketplace only for lawful Customer activity consistent with these Terms.

You may not:

  • use false, misleading, or stolen identity, account, payment, or transaction information;
  • create fraudulent orders, Bookings, returns, refund requests, reviews, or Buyer Protection claims;
  • use TurtlesEgg for card testing, sham transactions, artificial transaction activity, unlawful money movement, or other payment abuse;
  • attempt to obtain another user's credentials or circumvent account, payment, or security controls;
  • interfere with, scrape, reverse engineer, overload, attack, or misuse the Marketplace or its systems except where a non-waivable legal right expressly permits the activity;
  • purchase or attempt to purchase prohibited or unlawful Products or Services;
  • misuse promotions, referral benefits, credits, TurtlesCash, gift cards, discount codes, pickup codes, or Booking completion codes;
  • infringe intellectual property, privacy, publicity, or other rights;
  • harass, threaten, deceive, defraud, or impersonate another person or business; or
  • attempt to circumvent TurtlesEgg checkout, redirect a Marketplace transaction off-platform, or solicit or make an unauthorized off-platform payment;
  • assist another person in violating these Terms.

TurtlesEgg may cancel transactions, restrict features, deny claims, suspend accounts, or terminate access where reasonably necessary to protect Customers, Sellers, the Marketplace, or TurtlesEgg or to enforce these Terms.

6. Privacy Policy

6.1 Scope and Who This Policy Covers

This Section is the TurtlesEgg Privacy Policy. It describes how Turtles Egg Inc. collects, uses, discloses, retains, and protects personal information in connection with the Marketplace, including TurtlesEgg.com, TurtlesEgg websites and subdomains, mobile applications, customer accounts, checkout, Product orders, Local Pickup, Bookings, customer support, Marketplace messaging, promotions, TurtlesCash, gift cards, and related customer-facing services.

TurtlesEgg determines the purposes and means of processing for personal information it handles for its own Marketplace operations. Sellers and Providers are independent businesses. When a Seller or Provider receives Customer information through TurtlesEgg, its use remains subject to the TurtlesEgg Seller Terms, applicable law, and the limitations described in these Terms. A Seller or Provider may also have independent legal privacy obligations for information it lawfully receives or collects.

6.2 Categories of Personal Information We May Collect

Depending on how you use TurtlesEgg, we may collect or process the following categories of information:

  • Account and identity information: name, username, account identifiers, age or date-of-birth information where reasonably necessary, verification information, and authentication records.
  • Contact information: email address, telephone number, billing address, shipping address, pickup location information, Service location, and other contact details you provide.
  • Commercial and transaction information: Products and Services viewed or purchased, Sellers or Providers, quantities, prices, discounts, taxes, delivery or pickup information, Booking dates and times, order and Booking history, cancellations, rescheduling, returns, refunds, Buyer Protection activity, TurtlesCash, gift cards, and transaction codes.
  • Payment and financial transaction information: payment tokens, transaction identifiers, authorization and capture status, payment method type, card brand, partial account information supplied by an approved payment provider, refund information, fraud results, chargeback or dispute information, and related payment records. Complete payment-card credentials may be collected or handled by approved payment providers and are not provided to Sellers through TurtlesEgg.
  • Communications and support information: Marketplace messages, Seller or Provider communications, support requests, complaints, Buyer Protection submissions, return information, photographs or documents submitted for a claim, and other information you choose to provide.
  • User Content: ratings, reviews, photographs, videos, comments, questions, and other content you submit to the Marketplace.
  • Device, network, security, and usage information: IP address, device and browser information, operating system, log data, authentication events, security events, transaction-risk signals, pages or features used, interactions with Marketplace content, and similar technical information.
  • Location information: general location inferred from network information and, where you choose to enable a location-dependent feature, location information permitted by your device or browser settings.
  • Cookie, analytics, preference, and marketing information: cookie identifiers, local-storage data, preferences, campaign or referral information, and information used to measure Marketplace performance, remember settings, prevent fraud, and manage permitted communications.
  • Google API and Google Calendar information: only where an eligible Seller or Provider affirmatively connects Google Calendar or another approved Google integration, as described separately in Section 7.

6.3 Sources of Personal Information

We may obtain personal information directly from you; from Sellers and Providers involved in your transaction; from payment processors, acquiring banks, payment networks, fraud and identity providers, shipping carriers, communications providers, and other service providers; from your browser, device, or interaction with the Marketplace; from integrations you or an authorized Seller or Provider choose to connect; and from other lawful sources reasonably necessary to operate, secure, support, or comply with legal obligations applicable to the Marketplace.

6.4 How We Use Personal Information

TurtlesEgg may use personal information to:

  • create, maintain, verify, secure, and support Customer accounts;
  • process and administer payment authorizations, payment captures, orders, Bookings, delivery, Local Pickup, returns, refunds, TurtlesCash, gift cards, and Buyer Protection;
  • provide Sellers and Providers with information reasonably necessary to fulfill Products and Services and support authorized transaction-related customer service;
  • communicate about accounts, transactions, security, policy changes, Bookings, delivery, pickup, refunds, recalls, safety notices, and other Marketplace activity;
  • detect, prevent, investigate, and respond to fraud, abuse, account takeover, payment risk, prohibited conduct, security incidents, and attempts to circumvent Marketplace checkout;
  • operate, maintain, troubleshoot, analyze, develop, and improve the Marketplace and customer experience;
  • personalize Marketplace features and recommendations where permitted by law;
  • provide marketing or promotional communications where permitted and subject to applicable consent and opt-out requirements;
  • comply with legal, tax, regulatory, product-safety, payment-network, audit, recordkeeping, sanctions, and enforcement obligations; and
  • establish, exercise, investigate, or defend legal rights and protect Customers, Sellers, TurtlesEgg, and others.

6.5 Payment Information and Payment Providers

TurtlesEgg uses approved payment, banking, fraud, and financial-service providers to authenticate, authorize, capture, route, settle, refund, and otherwise administer Marketplace transactions. Those providers may process information under their own legal obligations and privacy notices. TurtlesEgg may receive payment tokens and transaction information necessary to administer the Marketplace without providing complete payment-card credentials to Sellers.

TurtlesEgg does not use Customer payment information to provide general-purpose peer-to-peer transfers or unrelated money-movement services.

6.6 Information Shared with Sellers and Providers

When you purchase a Product or book a Service, TurtlesEgg may provide the applicable Seller or Provider with information reasonably necessary to fulfill, deliver, schedule, perform, support, return, replace, or provide warranty service for the transaction. Depending on the transaction, this may include your name, contact information, delivery or Service location, order or Booking details, customization information, and limited transaction information.

Sellers and Providers may use Customer information received through TurtlesEgg only for authorized transaction fulfillment, Booking performance, legitimate transaction-related customer service, legal compliance, or another use specifically authorized by you or applicable TurtlesEgg policy. Sellers and Providers may not use TurtlesEgg Customer information to sell Customer data, add Customers to independent marketing lists without appropriate consent, solicit unauthorized off-platform payments, redirect transactions away from TurtlesEgg, or otherwise misuse Customer information.

6.7 Other Disclosures of Personal Information

TurtlesEgg may disclose personal information as reasonably necessary to:

  • payment processors, acquiring banks, payment networks, payout providers, fraud and identity providers, and financial institutions used to administer Marketplace transactions;
  • shipping carriers, communications providers, cloud and hosting providers, cybersecurity providers, analytics providers, customer-support providers, professional advisers, auditors, insurers, contractors, and other service providers that assist TurtlesEgg in operating or protecting the Marketplace;
  • law enforcement, courts, regulators, consumer-protection authorities, product-safety authorities, or other parties where disclosure is required by law or reasonably necessary to protect rights, safety, security, product safety, or Marketplace integrity; and
  • a successor, buyer, investor, lender, adviser, or transaction participant in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar corporate transaction, subject to applicable confidentiality and legal requirements.

6.8 Cookies, Analytics, Advertising, and Privacy Signals

TurtlesEgg may use cookies, local storage, pixels, SDKs, and similar technologies to keep you signed in, remember settings, operate checkout, prevent fraud, measure Marketplace performance, understand usage, and support permitted marketing or advertising activities.

TurtlesEgg does not sell personal information for monetary consideration. Depending on the technologies used and the law that applies to you, certain disclosures to analytics or advertising providers may be treated as a "sale," "sharing," or processing for targeted advertising even when no money is paid for the information. Where applicable law grants an opt-out right for such activity, TurtlesEgg will provide the legally required method to exercise that right and will honor recognized universal opt-out preference signals where legally required.

Browser, device, or consent settings may allow you to control some cookies or similar technologies. Disabling technologies that are necessary for account security, fraud prevention, authentication, checkout, or core Marketplace functions may affect functionality.

6.9 Sensitive Personal Information and Data Minimization

TurtlesEgg seeks to collect and use personal information that is reasonably necessary and proportionate for the Marketplace purposes described in this Policy. Where information is treated as sensitive personal information under applicable law, TurtlesEgg will process it only as permitted by law and will provide any required consent, limitation, or opt-out mechanism.

Do not send complete payment-card numbers, bank-account credentials, passwords, one-time verification codes, Local Pickup codes, Booking completion codes, government identification, or other sensitive information through Marketplace messages unless TurtlesEgg specifically requests the information through an authorized secure process.

6.10 Data Retention and Deletion

TurtlesEgg retains personal information for as long as reasonably necessary for the purposes described in this Privacy Policy, including account administration, order and Booking records, payment and refund administration, returns, Buyer Protection, fraud prevention, security, tax and accounting, audits, product-safety matters, dispute handling, legal compliance, and enforcement of Marketplace terms.

Retention periods vary based on the type of information, the transaction or account involved, legal and contractual requirements, security needs, and whether the information is needed to establish or defend legal rights. When personal information is no longer reasonably necessary, TurtlesEgg may delete, deidentify, or securely dispose of it, subject to lawful retention requirements and ordinary backup or archival cycles.

6.11 Security and Security Incidents

TurtlesEgg uses administrative, technical, and organizational safeguards designed to protect personal information against unauthorized access, use, alteration, or disclosure. No system can guarantee absolute security, and Customers are responsible for protecting account credentials and verification codes.

Sellers and Providers are required to use reasonable safeguards for Customer information they receive through TurtlesEgg and to notify TurtlesEgg of qualifying or suspected security incidents involving Marketplace Customer information or Marketplace credentials as required by the Seller Terms. TurtlesEgg may investigate an incident, restrict access, require remediation, coordinate with affected Sellers or service providers, and provide notices to affected individuals or authorities where required by applicable law.

6.12 Your Privacy Choices and Rights

Depending on your state or country of residence and the law applicable to TurtlesEgg, you may have the right to request confirmation of whether TurtlesEgg processes your personal information; access or know the information TurtlesEgg maintains about you; correct inaccurate information; delete certain information; obtain a portable copy of certain information; opt out of certain sales, sharing, targeted advertising, or qualifying profiling; limit certain uses or disclosures of sensitive personal information; and appeal a denial of a privacy request where applicable.

You may also unsubscribe from marketing emails using the unsubscribe method in the message and may manage certain account or communication preferences through available Marketplace settings. Transactional, account, security, product-safety, recall, legal, and other non-marketing communications may still be sent where necessary or permitted by law.

TurtlesEgg will not unlawfully discriminate against you for exercising an applicable privacy right. TurtlesEgg may take reasonable steps to verify your identity and authority before completing a request. Where applicable law permits an authorized agent to submit a request for you, TurtlesEgg may require evidence of the agent's authority and may separately verify your identity.

6.13 Children and Minors

The Marketplace is not directed to children under thirteen (13), and TurtlesEgg does not knowingly seek to collect personal information from a child under thirteen in violation of applicable law. A person who is not legally able to enter into these Terms independently may use the Marketplace only with the authorization of a parent or legal guardian as described in Section 4.

TurtlesEgg does not knowingly sell or share the personal information of a consumer under sixteen (16) in a manner that requires affirmative authorization under applicable law without obtaining the required authorization.

6.14 Changes to This Privacy Policy

TurtlesEgg may update this Privacy Policy as described in Section 29. If a change materially affects how TurtlesEgg collects, uses, or discloses personal information, TurtlesEgg will provide any additional notice or consent required by applicable law. Material changes affecting Google user data are also subject to Section 7.

6.15 Privacy Requests and Contact

Privacy questions and requests may be submitted to [email protected] or through TurtlesEgg's designated Customer Support or privacy-request channels published on TurtlesEgg.com. Please describe the privacy right or request you are seeking to exercise and provide sufficient information for TurtlesEgg to identify and verify the applicable account or information.

7. Google Calendar Integration and Google API Data

7.1 Scope of the Google Calendar Integration

TurtlesEgg uses Google Sign-In and Google Calendar integration to allow eligible Sellers and Providers to connect Google Calendar to their TurtlesEgg Seller account for Booking and availability management.

Customers ordinarily do not need to connect a Google Calendar account in order to make a Booking. If the Seller or Provider for your Booking has connected Google Calendar, TurtlesEgg may create, update, or remove a TurtlesEgg-related event in that Seller's or Provider's selected calendar and may include limited Booking information reasonably necessary to identify and manage the appointment.

7.2 Google Calendar Data We Access and How We Use It

When a Seller or Provider affirmatively connects a Google account, TurtlesEgg may access Google Calendar data that the user authorizes, including calendar lists, availability or free-busy information, and calendar events, to the extent needed for the connected Booking workflow.

TurtlesEgg uses authorized Google Calendar data only for purposes such as:

  1. allowing the Seller or Provider to select which Google Calendar to sync with TurtlesEgg;
  2. checking calendar availability so existing Google Calendar events can block unavailable time slots on TurtlesEgg;
  3. creating calendar events when a Customer places a Booking through TurtlesEgg;
  4. updating or removing related calendar events if a TurtlesEgg Booking is changed, rescheduled, or cancelled; and
  5. helping Sellers and Providers manage TurtlesEgg Bookings and Google Calendar appointments in one workflow.

Private Google Calendar event details are not displayed to Customers. Customers may see only the Marketplace availability necessary to select a Booking time.

7.3 Limited Use, Sharing, Advertising, and AI Restrictions

TurtlesEgg does not sell Google Calendar data. TurtlesEgg does not use Google Calendar data for advertising, retargeting, personalized advertising, unrelated marketing, credit decisions, lending, unrelated analytics, or creation of data-broker or information-reseller products.

TurtlesEgg does not use Google Calendar or other Google API user data to train or improve a generalized or foundational artificial-intelligence or machine-learning model.

TurtlesEgg does not share Google Calendar data with third parties except where necessary to provide or maintain the user-facing calendar synchronization feature, for security or abuse prevention, to comply with applicable law, as part of a permitted corporate transaction where applicable requirements are satisfied, or as otherwise permitted by the Google API Services User Data Policy and authorized by the user.

Human access to Google user data is restricted except where the user affirmatively authorizes access for support, access is reasonably necessary for security or abuse investigation, access is required by applicable law, or another use is expressly permitted by applicable Google policy.

7.4 Storage, Retention, and Disconnect

TurtlesEgg stores only information reasonably necessary to provide and secure the calendar integration, such as the selected calendar connection, authorization tokens, synchronization metadata, availability information needed for synchronization, and TurtlesEgg-related Booking event information.

When a Seller or Provider disconnects Google Calendar, TurtlesEgg stops ongoing access and synchronization for that connection. Stored Google authorization tokens are deleted or invalidated. Cached Google Calendar data that is no longer needed for the disconnected synchronization is deleted through TurtlesEgg's disconnection and retention process, except where specific information must lawfully be retained for security, fraud prevention, audit, compliance, or transaction-record purposes. TurtlesEgg-created Booking records may remain as part of the Marketplace transaction record.

7.5 Google API Limited Use Commitment

TurtlesEgg's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

If TurtlesEgg materially changes how it accesses or uses Google user data, TurtlesEgg will update the applicable public privacy disclosure and obtain any additional authorization or consent required before using Google user data for the new purpose.

8. Communications, Electronic Records and Marketplace Messaging

TurtlesEgg may provide account, order, Booking, security, policy, support, legal, refund, transaction, delivery, Local Pickup, and other service communications electronically through email, text message where authorized, mobile or web notification, Marketplace messaging, account notification, or other electronic methods.

Electronic agreements, notices, disclosures, confirmations, and records provided by TurtlesEgg have the same legal effect as written communications.

Marketing communications are subject to applicable consent and opt-out rules. Marketing consent is not a condition of purchase.

You are responsible for maintaining current contact information in your account and reviewing notices sent to your registered contact information or made available through the Marketplace.

8.1 Buyer-Seller and Buyer-Provider Communications

TurtlesEgg may provide Marketplace messaging, contact, notification, or other communication tools that allow Customers and Sellers or Providers to communicate in connection with a Product order, Local Pickup transaction, Booking, return, refund, exchange, delivery, or other legitimate customer-service matter.

Customers and Sellers or Providers are strongly encouraged to keep all transaction-related communications within TurtlesEgg Marketplace communication tools whenever those tools are available. Keeping communications within TurtlesEgg helps preserve an accurate transaction record and allows TurtlesEgg to review relevant communications when administering Buyer Protection, returns, refunds, cancellations, fraud reviews, account security, or other Marketplace matters.

Marketplace communications must relate to a legitimate TurtlesEgg transaction or customer-service matter. They may not be used to harass, threaten, deceive, defraud, solicit unrelated business, send unsolicited marketing, obtain unnecessary personal information, circumvent TurtlesEgg checkout, redirect a transaction outside TurtlesEgg, or request payment through another website, application, payment service, cash arrangement, QR code, payment link, or other off-platform method.

Customers should not provide payment-card information, banking information, passwords, one-time verification codes, TurtlesEgg account credentials, Local Pickup codes, or Booking completion codes through Buyer-Seller communications. Local Pickup and Booking completion codes must be provided only at the time and in the manner permitted by these Terms.

A Seller or Provider may communicate information reasonably necessary to fulfill or support the transaction, including legitimate delivery instructions, Local Pickup information, Booking information, Product customization details, return instructions, warranty information, or other information reasonably required to complete or support the applicable order or Booking.

A Seller or Provider may not use Marketplace communications to impose, demand, or collect any price increase, additional fee, surcharge, cancellation charge, deposit, payment, or other amount that is not authorized by the confirmed TurtlesEgg transaction or these Terms. A confirmed Booking price may not be increased as provided in Section 19.2.

Customers should not complete a TurtlesEgg transaction, make an additional transaction payment, or provide consideration directly to a Seller or Provider outside TurtlesEgg based on a message, telephone call, text message, email, social-media communication, QR code, external payment link, or other request intended to bypass TurtlesEgg checkout. If a Seller or Provider requests an unauthorized off-platform payment, the Customer should not make the payment and may report the request to [email protected].

Payments made outside TurtlesEgg checkout are not eligible for TurtlesEgg Buyer Protection. TurtlesEgg cannot verify or administer unauthorized off-platform payments or side arrangements.

TurtlesEgg is not a party to, does not adopt, and does not assume responsibility for private side agreements, promises, representations, commitments, quotations, warranties, discounts, credits, refunds, payment arrangements, additional charges, or other arrangements independently made between a Customer and a Seller or Provider outside the Marketplace unless TurtlesEgg expressly authorizes or confirms the arrangement through the Marketplace.

TurtlesEgg is not responsible or liable for charges, losses, payment obligations, promises, representations, disputes, or other amounts arising from unauthorized off-platform communications, payments, or transactions between Customers and Sellers or Providers. TurtlesEgg has no obligation to reimburse, refund, credit, pay, or otherwise satisfy an amount arising from an unauthorized side arrangement or off-platform transaction. Such arrangements do not modify the applicable TurtlesEgg order, Booking, Seller policy, Buyer Protection rules, or these Terms.

Communications occurring through TurtlesEgg may be retained, reviewed, processed, or disclosed as described in the Privacy Policy and may be considered by TurtlesEgg when administering Marketplace transactions, Buyer Protection, fraud prevention, account security, policy enforcement, or disputes.

TurtlesEgg may restrict messaging privileges, block communications, cancel transactions, restrict or deny Buyer Protection for unauthorized off-platform activity, suspend accounts, terminate access, or take other appropriate Marketplace action where a Customer, Seller, or Provider uses communications to circumvent TurtlesEgg, commit fraud, misuse personal information, solicit unauthorized payment, or otherwise violate these Terms.

9. User Content, Ratings and Reviews

Content you submit through TurtlesEgg, including ratings, reviews, photographs, videos, comments, questions, and other materials ("User Content"), must be accurate, lawful, and based on your genuine experience where applicable.

You grant TurtlesEgg a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to host, reproduce, format, display, distribute, promote, and otherwise use User Content as reasonably necessary to operate and promote the Marketplace.

You may not submit false reviews, compensated reviews without required disclosure, reviews concerning a business in which you have an undisclosed material interest, defamatory content, infringing content, or content intended to manipulate Marketplace ratings.

TurtlesEgg may invite or remind Customers to rate or review a Product, completed Local Pickup, or completed Booking. A request for a review does not require a positive review and does not affect Buyer Protection or another transaction right.

TurtlesEgg may moderate, restrict, remove, or decline to publish User Content to protect Marketplace integrity or enforce Marketplace policies.

10. Intellectual Property and Copyright

TurtlesEgg and its licensors retain all rights in the Marketplace, software, interface, branding, trademarks, designs, documentation, and TurtlesEgg-created content.

You may not copy, reproduce, distribute, sell, commercially exploit, reverse engineer, or create derivative works from protected Marketplace content except as authorized by TurtlesEgg, the applicable rights holder, or a non-waivable legal right.

Copyright and other intellectual-property complaints may be submitted through TurtlesEgg's designated intellectual-property or support process.

11. Products, Services and Seller Information

11.1 Seller Responsibility

Sellers are responsible for the Products and Services they list and provide through TurtlesEgg, including listing accuracy, Product authenticity, Product and Service safety, applicable licenses and professional qualifications, legally required disclosures, fulfillment, performance, and Seller-provided warranties.

TurtlesEgg may review Seller eligibility, listings, complaints, policy violations, suspected counterfeit goods, prohibited Products or Services, fraud indicators, safety concerns, licensing concerns, or other Marketplace issues. TurtlesEgg may require Sellers in particular categories to maintain licenses, permits, certifications, insurance, or other compliance documentation. These Marketplace controls do not constitute a guarantee of every Seller, Product, Service, listing, review, statement, photograph, license, insurance policy, or third-party representation.

Before purchasing, review the Product or Service description, price, condition, size or specifications, Seller information, delivery or pickup details, Booking details, restrictions, and the Seller's return, refund, and exchange policy.

11.2 Product Safety, Recalls, Stop-Sale Orders and Regulatory Action

Sellers may not knowingly offer recalled, materially unsafe, prohibited, counterfeit, or unlawful Products through TurtlesEgg. Sellers are required to notify TurtlesEgg of applicable Product recalls, material safety warnings, stop-sale orders, material safety defects, or relevant regulatory action affecting Products offered through the Marketplace and to cooperate with appropriate Marketplace remediation.

If TurtlesEgg becomes aware of a recall, safety warning, stop-sale order, material safety concern, or regulatory action affecting a Product, TurtlesEgg may remove or restrict the listing, stop or cancel fulfillment, contact affected Customers, provide safety or return instructions, coordinate refunds, replacements, returns, or other remediation where appropriate, and take other action reasonably necessary to protect Customers or comply with law.

Safety and recall communications are service or legal communications and may be sent even if you have opted out of marketing communications. If you receive a recall, stop-use, or safety notice, follow the instructions in the notice and contact TurtlesEgg Support if you need assistance with the Marketplace transaction.

12. Pricing, Availability, Taxes and Order Acceptance

Prices and availability may be supplied or controlled by Sellers and may change before a Product order or Booking is confirmed.

For a paid Booking, the mandatory TurtlesEgg Service Fee is included in the total Booking price displayed to the Customer and is also identified in the Booking price breakdown before payment.

TurtlesEgg may display taxes, Marketplace charges, shipping amounts, discounts, credits, and other transaction amounts. TurtlesEgg may calculate, collect, report, or remit transaction taxes where TurtlesEgg is required to do so.

An order or Booking confirmation acknowledges the transaction but does not prevent TurtlesEgg from cancelling or correcting a transaction affected by a pricing error, availability error, suspected fraud, prohibited Product or Service, technical error, payment failure, or another material transaction problem.

If TurtlesEgg cancels a paid transaction before fulfillment or Service performance, the applicable refund will be processed under these Terms.

13. Checkout and Payment Collection

13.1 Centralized Marketplace Checkout

Buyer Protection applies only to eligible transactions completed and paid through TurtlesEgg checkout.

TurtlesEgg may use one or more approved acquiring banks, payment processors, payment gateways, financial institutions, fraud providers, and payment networks to authenticate, authorize, capture, process, route, settle, refund, or otherwise administer Marketplace payments. TurtlesEgg may change payment providers or routing without changing your basic Customer payment obligations under these Terms.

Complete payment-card credentials may be handled by approved payment providers and are not provided to Sellers through TurtlesEgg. A Seller may not require duplicate payment of an amount properly paid through TurtlesEgg.

13.2 Shipped Product Payment Timing

For a shipped Product order, TurtlesEgg ordinarily requests authorization of your payment method when you complete checkout. Authorization reserves the approved amount but is not the same as final payment capture.

TurtlesEgg captures the authorized amount after the Seller ships the Product and valid shipment or tracking information is submitted and accepted through the Marketplace payment and fulfillment process. Payment capture does not by itself establish delivery, eliminate your applicable return or Buyer Protection rights, or mean the Seller has already received payout.

13.3 Local Pickup Payment Timing

For Local Pickup, TurtlesEgg ordinarily requests authorization of your payment method at checkout but does not capture the payment at checkout. Payment is captured only after the Product has been physically handed to you and the valid four-digit Local Pickup code has been successfully verified through TurtlesEgg.

If a Local Pickup order is cancelled or remains uncollected before physical handoff and valid pickup-code confirmation, the standard Local Pickup policy does not impose a cancellation, no-show, or non-collection penalty on the Customer and TurtlesEgg does not capture the payment under the normal Local Pickup flow. A pending authorization may remain visible temporarily until released or expired by the applicable payment provider or card issuer.

13.4 Booking Payment Timing

Paid Bookings are captured through TurtlesEgg checkout when the Booking is confirmed because appointment capacity is reserved. The Booking total includes the Service Price, the separate TurtlesEgg Service Fee, and applicable taxes or other amounts clearly disclosed before you confirm payment.

13.5 Payment Verification, Fraud Controls and Corrections

TurtlesEgg and its approved providers may use cardholder authentication, AVS, CVV verification, transaction velocity controls, device or IP risk analysis, manual review, and other reasonable fraud or security controls. TurtlesEgg may decline, challenge, delay, cancel, restrict, or review a transaction presenting elevated fraud, security, compliance, regulatory, or financial risk.

TurtlesEgg may correct documented authorization, capture, refund, duplicate, or transaction-record errors. Any correction remains subject to applicable law, card-network rules, these Terms, and your non-waivable legal rights.

A payment made directly to a Seller outside TurtlesEgg checkout is outside TurtlesEgg Buyer Protection and TurtlesEgg's Marketplace payment administration for that transaction.

14. Product Order Cancellation

A Buyer may cancel a shipped Product order before shipment is confirmed. Seller authorization is not required for a valid TurtlesEgg cancellation made before confirmed shipment.

Because shipped Product payment is ordinarily only authorized before shipment, TurtlesEgg will ordinarily void, reverse, or allow release of the applicable authorization when a valid pre-shipment cancellation is completed. If an amount has already been captured, TurtlesEgg will administer the applicable refund under these Terms. Timing for a released authorization or refund to appear on your account may depend on your financial institution.

Once shipment has been confirmed, the order may no longer be cancelled as an unshipped order. Any later return, refund, or exchange request is governed by the Seller's return, refund, and exchange policy displayed at the time of purchase, applicable Buyer Protection rules, and these Terms.

If a Seller cancels a Product order before fulfillment, TurtlesEgg will administer the applicable cancellation, authorization release, or refund. Customer-facing refunds are governed by these Terms, and Seller-side costs or consequences do not become additional Customer charges.

15. Shipping and Delivery

For shipped Product transactions, the Seller is responsible for fulfillment and bears shipping risk until successful delivery is confirmed.

You are responsible for providing a complete and accurate delivery address and for reasonably monitoring available order and tracking information.

Valid UPS, USPS, FedEx, or other carrier information accepted by TurtlesEgg may constitute confirmation of shipment or delivery for ordinary Marketplace administration, subject to review of apparent carrier error, fraud, or other material contrary evidence.

For shipped Products, payment may be captured after the Seller submits valid shipment or tracking information and the Marketplace confirms the applicable shipment event. Payment capture is a payment-processing event and is separate from delivery confirmation, Seller payout eligibility, and your applicable return or Buyer Protection rights.

If an eligible order is not delivered as promised, contact the Seller through TurtlesEgg where practical. If the issue remains unresolved, contact TurtlesEgg Support with the Order ID and available tracking, delivery, and communication information.

TurtlesEgg may review delivery records, tracking, carrier information, Seller information, Customer communications, photographs, and other available evidence when administering a non-delivery issue.

16. Local Pickup

16.1 Local Pickup Timing and Availability

All Local Pickup dates, store hours, pickup availability, and other time-based references are determined using the local time zone of the pickup location shown for the order unless TurtlesEgg expressly states otherwise.

A Local Pickup order may be scheduled only for an available pickup time offered through TurtlesEgg and may not be scheduled more than four (4) days in advance unless TurtlesEgg expressly allows a longer period for a particular listing or category.

When a Local Pickup order is ready, TurtlesEgg will notify the Buyer using the contact information associated with the order. The Ready for Pickup notice may include the Seller's applicable store hours.

16.2 Local Pickup Verification and Completion

The Buyer should be prepared to provide the applicable TurtlesEgg Order ID or order confirmation so the Seller can identify the correct order. A Seller may use reasonable identity-verification practices where lawful and appropriate.

Do not provide the four-digit pickup code until the Product has been physically handed to you. Confirmation of the four-digit pickup code records completion of the Local Pickup transaction for Marketplace purposes.

If a Local Pickup Product is not available as promised or another material issue occurs before handoff, do not provide the pickup code and contact the Seller or TurtlesEgg Support.

16.3 Cancellation and Non-Collection

If a Local Pickup order is cancelled or remains uncollected before physical handoff and valid four-digit pickup-code confirmation, the Customer is not penalized under the standard Local Pickup policy. TurtlesEgg may cancel the order or release any uncaptured payment authorization in the ordinary course. The time for a pending authorization to disappear from your account is controlled in part by your card issuer or financial institution.

TurtlesEgg may monitor repeated, excessive, fraudulent, manipulative, or abusive Local Pickup cancellation or non-collection behavior and may restrict Local Pickup privileges, require additional verification, or take other reasonable account action to protect Sellers and the Marketplace.

16.4 After Pickup

After Local Pickup is completed, the Seller's return, refund, and exchange policy displayed at the time of purchase applies, subject to applicable law and TurtlesEgg Buyer Protection.

17. Returns, Refunds and Exchanges

Each Seller sets the return, refund, and exchange policy applicable to its Products. The policy displayed on the Product listing at the time of purchase applies to that transaction and may not be retroactively reduced for that order.

Buyers are responsible for reviewing the applicable Seller policy before completing the purchase. Any eligible return, refund, or exchange request must be submitted within the period stated in that policy and must comply with the conditions stated in that policy.

Once the applicable Seller return, refund, or exchange period has expired, no new ordinary return, refund, or exchange request may be initiated under TurtlesEgg Buyer Protection for that Product transaction, except where applicable law, a Product recall or safety action, or another Marketplace protection described in these Terms provides otherwise.

For any Product return that is eligible and authorized under the Seller's disclosed policy or an applicable TurtlesEgg return process, the Seller is responsible for the reasonable cost of return shipping. The Buyer must follow the authorized return instructions and use the return method or shipping label provided or approved through TurtlesEgg. Unauthorized upgrades, expedited shipping, or other additional shipping costs voluntarily incurred by the Buyer are not reimbursable unless approved in advance.

A Seller policy concerning ordinary returns does not prevent TurtlesEgg from taking Marketplace action where a transaction involves non-delivery, counterfeit goods, fraud, an incorrect Product, material misrepresentation, a recalled or materially unsafe Product, or another material Marketplace violation.

18. Buyer Protection

TurtlesEgg Buyer Protection is the process TurtlesEgg uses to administer eligible Product and Booking issues for transactions completed and paid through TurtlesEgg checkout.

Seller-provided return, refund, and exchange policies control ordinary Product returns. TurtlesEgg separately maintains Marketplace authority over non-delivery, counterfeit goods, fraud, incorrect Products, material misrepresentation, recalled or materially unsafe Products, Provider failure, and other material Marketplace violations.

18.1 Buyer Protection May Apply To

  • an eligible transaction paid through TurtlesEgg checkout;
  • an eligible Product return, refund, or exchange request made within the Seller policy period shown at purchase;
  • an authorized Product return handled through TurtlesEgg;
  • an order not delivered or an eligible Local Pickup order not made available as promised;
  • an incorrect Product, suspected counterfeit Product, materially misrepresented Product, recalled or materially unsafe Product, fraud, or another material Marketplace violation reviewed by TurtlesEgg;
  • a Provider cancellation without a mutually agreed reschedule;
  • a Provider's failure to provide the booked Service; or
  • a completed Service where evidence shows the Provider materially failed to provide the Service described at Booking, engaged in fraud or material misrepresentation, or committed another material Marketplace violation.

18.2 Buyer Protection Does Not Cover

  • payments made outside TurtlesEgg checkout;
  • ordinary return, refund, or exchange requests submitted after the applicable Seller policy period has expired, except where a separate legal, recall, safety, or Marketplace remedy applies;
  • change of mind, preference changes, buyer remorse, fit or style dissatisfaction outside the Seller's disclosed Product policy;
  • normal wear, disclosed Product condition, or minor differences that do not materially conflict with the listing;
  • custom or personalized Products that match the approved order, except where the Seller's disclosed policy or applicable law provides otherwise;
  • damage or loss caused by Buyer misuse after delivery or pickup;
  • false, duplicate, abusive, or materially misleading claims; or
  • subjective dissatisfaction with a completed Service based only on preference, taste, style, expected outcome, or personal satisfaction.

Buyer Protection is not a satisfaction guarantee for a completed Service.

18.3 Buyer Protection Process

  1. Review the Seller policy and applicable order or Booking details.
  2. Contact the Seller or Provider through TurtlesEgg where practical.
  3. If an eligible issue remains unresolved, contact TurtlesEgg Support and provide the Order or Booking ID and available information.
  4. TurtlesEgg may review the listing, Seller policy, transaction record, authorization or capture status, delivery or pickup evidence, communications, photographs, codes, Booking records, Provider records, safety or recall information, and other relevant evidence.
  5. TurtlesEgg determines the applicable Marketplace resolution under these Terms, subject to correction of documented errors and non-waivable legal rights.

Depending on the transaction and applicable policy, a resolution may include an authorization release, return, monetary refund, replacement, exchange, reschedule, correction, TurtlesCash where expressly provided, account action, safety remediation, or another Marketplace remedy.

TurtlesEgg may initiate protective or safety action without waiting for a Customer claim where a recall, stop-sale order, material safety concern, fraud pattern, or other urgent Marketplace issue reasonably requires action.

A Buyer may not receive duplicate reimbursement, replacement, credit, or other recovery for the same loss. TurtlesEgg may adjust or close an internal Buyer Protection review where the same loss has already been resolved.

Abuse of Buyer Protection may result in claim denial, transaction restrictions, account limitations, suspension, or termination.

19. Bookings, Services, Rescheduling and Cancellation

19.1 Booking Price, Service Fee, Payment and Confirmation

Customers pay the full Booking total shown through TurtlesEgg checkout. The Booking total includes the Service Price, the mandatory TurtlesEgg Service Fee for the Booking, and applicable taxes or other amounts clearly disclosed in the Booking total.

The TurtlesEgg Service Fee for a paid Booking is calculated as 5% of the Service Price and must be identified in the Booking price breakdown before the Customer confirms payment.

Paid Booking amounts are captured through TurtlesEgg checkout when the Booking is confirmed because the appointment period is reserved. Customer payment and Seller payout occur on separate timelines.

19.2 Grace Period for the TurtlesEgg Service Fee

The TurtlesEgg Service Fee becomes non-refundable after the applicable grace period.

For a standard Booking made more than twenty-four (24) hours before the scheduled appointment start time, the applicable grace period is two (2) hours from the time of Booking confirmation.

For a Booking made within twenty-four (24) hours of the scheduled appointment start time, the applicable grace period is fifteen (15) minutes from the time of Booking confirmation.

If the Customer cancels within the applicable grace period, the Customer receives a full refund of the amount paid for the Booking, including the Service Price, the TurtlesEgg Service Fee, and any applicable taxes.

19.3 No Price Increase After Confirmation

The Service Price for a confirmed Booking may not be increased after the Booking is confirmed. A Provider may not require the Customer to pay a higher price to receive the Service that was booked.

A Customer and Provider may separately agree to an optional additional or different Service, but the Customer is not required to accept an added Service or charge. A Provider that cannot honor the confirmed Booking may cancel or mutually reschedule the Booking under these Terms.

19.4 Booking Time Zone

All cancellation windows, scheduled start and end times, late-arrival rules, no-show timing, and other time calculations for a Booking are measured using the local time zone of the Provider's place of business or Service location shown in the Booking. If no physical Service location is shown, TurtlesEgg may use the Provider's listed business time zone.

The 24-hour and 2-hour cancellation windows are measured backward from the scheduled appointment start time.

19.5 Mutual Rescheduling

The Customer and Provider may mutually agree to reschedule a Booking at any time.

A mutually agreed reschedule is not treated as a cancellation or no-show. The existing paid Booking carries forward to the mutually agreed rescheduled appointment, and no second TurtlesEgg Service Fee is charged solely because the same Booking is rescheduled.

19.6 Customer Cancellation More Than 24 Hours Before Appointment

If the Customer cancels more than twenty-four (24) hours before the scheduled appointment start time, 100% of the Service Price is refunded to the Customer. If the applicable grace period has already expired, the TurtlesEgg Service Fee is non-refundable for that cancellation.

19.7 Customer Cancellation Within 24 Hours but More Than 2 Hours Before Appointment

If the Customer cancels within twenty-four (24) hours but more than two (2) hours before the scheduled appointment start time, 50% of the Service Price is issued to the Customer as TurtlesCash under Section 21. The remaining 50% of the Service Price is non-refundable under the standard cancellation policy.

If the applicable grace period has already expired, the TurtlesEgg Service Fee is non-refundable for that cancellation.

19.8 Customer Cancellation 2 Hours or Less Before Appointment

If the Customer cancels two (2) hours or less before the scheduled appointment start time, the Service Price is non-refundable under the standard cancellation policy. If the applicable grace period has already expired, the TurtlesEgg Service Fee is also non-refundable.

The Customer and Provider may still mutually agree to reschedule the Booking. If they mutually reschedule, the Booking is treated as a reschedule rather than a cancellation and the original TurtlesEgg Service Fee carries forward.

19.9 Late Arrival

If a Customer arrives after the scheduled start time but before the scheduled appointment period has ended, the Customer is not considered a no-show solely because of the late arrival.

The Provider may provide the Service during the remaining scheduled time or the Customer and Provider may mutually agree to reschedule. A late arrival does not automatically extend the scheduled appointment period.

19.10 Reserved Appointment Period and No-Show

The scheduled appointment period is reserved for the Customer unless the Customer cancels, the Customer and Provider mutually agree to reschedule, or the Booking is otherwise properly cancelled under these Terms.

A Customer may be recorded as a no-show only after the entire scheduled appointment period has ended without the Customer attending, cancelling, or mutually rescheduling with the Provider.

The absence of a completion code by itself does not establish a no-show. After the scheduled appointment period has ended, the Provider may record the Booking as a no-show. TurtlesEgg may review a no-show record before applying the standard no-show outcome.

A valid no-show is non-refundable under the standard cancellation policy, including the Service Price and, if the applicable grace period has already expired, the TurtlesEgg Service Fee.

A Provider must keep the reserved appointment period available for the booked Customer. A Provider may not mark the Customer as a no-show and use the same reserved appointment period to serve another customer in a manner that creates duplicate payment for the same reserved time. If the Provider does not remain available to provide the booked Service during the reserved period, TurtlesEgg may review the transaction as a Provider failure or Provider cancellation.

19.11 Provider Cancellation

If the Provider cancels a Booking and the Customer and Provider do not mutually agree to reschedule, the Customer receives a full refund of the amount paid for the Booking, including the Service Price and the TurtlesEgg Service Fee. Seller-side cancellation fees, processing costs, or settlement consequences are not additional Customer charges.

19.12 Booking Verification and Completion Code

The Customer must provide the applicable TurtlesEgg Booking or Order ID when reasonably requested by the Provider so the Provider can identify and verify the correct Booking. A Provider may also choose to request a valid form of identification where lawful and appropriate.

Do not provide the four-digit Booking completion code until the booked Service has actually been completed. Confirmation of the completion code records completion of the Booking for Marketplace transaction purposes.

A Provider must not request or pressure a Customer to provide the completion code before the Service has been completed. If a Provider requests the code early, do not provide it and report the issue to TurtlesEgg.

19.13 Completed Services and Reviews

Buyer Protection is not a satisfaction guarantee for a completed Service. Subjective differences in preference, taste, style, expected outcome, or personal satisfaction do not by themselves create a right to a refund after completion.

TurtlesEgg may review a completed Service where evidence indicates that the Provider failed to perform the booked Service, materially failed to provide the Service described at Booking, engaged in fraud or material misrepresentation, or committed another material Marketplace violation.

After a Booking is completed, TurtlesEgg may invite the Customer to provide an honest rating or review of the Provider and Service.

20. Refund Method and Processing

Where a payment has not yet been captured, an approved cancellation may be handled by voiding, reversing, or releasing the applicable authorization rather than issuing a monetary refund. The time for a pending authorization to disappear from your account is controlled in part by your card issuer or financial institution.

Eligible monetary refunds are ordinarily returned to the original payment method used for the transaction, unless another method is required or permitted by applicable law or the payment system involved.

TurtlesCash is used where these Terms expressly provide for TurtlesCash, including the applicable Booking cancellation rule, or where a separate eligible promotion or Customer choice expressly provides for it.

If a transaction was paid partly with TurtlesCash, a gift card, or promotional credit, the applicable non-cash portion of an approved refund may be returned to the corresponding balance or credit rather than paid as cash.

Refund processing time may vary depending on the payment method, payment provider, financial institution, transaction status, and other processing requirements.

TurtlesEgg may correct, reverse, offset, or adjust an authorization, capture, refund, credit, or transaction record where reasonably necessary to correct a documented duplicate, clerical or system error, fraud, returned payment, invalid transaction outcome, or other documented processing error. Corrections may be made in either direction and remain subject to applicable law, payment-network rules, and non-waivable Customer rights. TurtlesEgg may provide notice of a material Customer-facing correction where appropriate.

21. TurtlesCash Terms

This Section governs TurtlesCash and is part of these Terms. No separate TurtlesCash policy is required unless TurtlesEgg expressly publishes additional program terms for a specific promotion.

21.1 Nature of TurtlesCash

TurtlesCash is a TurtlesEgg Marketplace credit. It is not cash, a bank deposit, a general-purpose payment account, stored money held for withdrawal, or a transferable cash balance. TurtlesCash does not earn interest and is not redeemable for cash except where TurtlesEgg expressly states otherwise or applicable law requires a cash redemption.

21.2 How TurtlesCash May Be Issued

TurtlesCash may be earned, awarded, credited, or issued through eligible purchases, promotions, referrals, customer-service adjustments, Booking cancellation rules, or other TurtlesEgg programs. The amount, earning rate, eligibility, and any special conditions may be shown in the applicable offer, account, transaction, or Marketplace display.

21.3 Use of TurtlesCash

TurtlesCash may be used only for eligible TurtlesEgg Marketplace transactions and only in the manner made available at checkout. TurtlesEgg may exclude particular Products, Services, fees, taxes, gift cards, promotional items, or transaction types from TurtlesCash redemption where the applicable Marketplace display states the restriction.

TurtlesCash issued under the Booking cancellation policy is subject to the same general TurtlesCash rules and may be used for eligible future Marketplace transactions.

21.4 Returns and Adjustments

If TurtlesCash is earned from a transaction that is later cancelled, returned, refunded, reversed, or found to be fraudulent or ineligible, TurtlesEgg may reverse or adjust the associated TurtlesCash. If an eligible transaction paid with TurtlesCash is refunded, the TurtlesCash portion may be restored to the Customer's TurtlesCash balance.

21.5 Account and Transfer Restrictions

TurtlesCash is associated with the Customer account to which it is issued and may not be sold, transferred, assigned, exchanged between accounts, or used for unauthorized resale or money movement unless TurtlesEgg expressly enables that functionality.

21.6 Expiration and Program Changes

Any specific expiration date applicable to promotional TurtlesCash will be disclosed when the credit is issued or in the Customer account. TurtlesEgg may change future earning or redemption rules under the update provisions of these Terms. TurtlesEgg may correct balances affected by error, duplicate issuance, fraud, abuse, or an invalid transaction.

22. Gift Cards and Promotional Credits

22.1 TurtlesEgg Gift Cards

TurtlesEgg gift cards may be redeemed only for eligible purchases through the Marketplace and are not redeemable for cash except where required by applicable law. Gift cards may not be used for unlawful activity, unauthorized resale, fraudulent transactions, or other prohibited conduct.

If a purchase made with a gift card is eligible for a refund, the portion originally paid with the gift card may be returned to the applicable gift card or equivalent TurtlesEgg gift-card balance.

TurtlesEgg may refuse, cancel, review, or restrict a gift card or gift-card transaction where reasonably necessary because of fraud, theft, unauthorized use, payment reversal, technical error, or other invalid issuance or redemption.

22.2 Promotional Credits

Promotional credits, coupons, discount codes, and similar offers are subject to the eligibility, redemption, expiration, minimum-purchase, category, account, transaction, and other conditions displayed with the applicable promotion.

Promotional credits have no cash value unless TurtlesEgg expressly states otherwise. TurtlesEgg may correct or revoke promotional value obtained through fraud, abuse, duplicate accounts, or violation of the applicable promotion rules.

23. Product and Service Warranties

A Seller or manufacturer may provide a Product or Service warranty. Any such warranty is governed by the warranty terms displayed with the Product or Service or otherwise provided by the applicable Seller or manufacturer.

TurtlesEgg does not manufacture Seller Products and does not independently provide a Product or Service warranty unless TurtlesEgg expressly states that it is providing a specific warranty.

Buyer Protection, returns, refunds, and exchanges are separate from any Seller or manufacturer warranty and are governed by the applicable sections of these Terms.

24. Platform Warranty Disclaimer

THIS SECTION IS AN ESSENTIAL PART OF THESE TERMS.

The Marketplace, software, applications, content, search tools, recommendations, integrations, transaction tools, and other TurtlesEgg services are provided "as is" and "as available."

AS PERMITTED BY LAW, TURTLESEGG DISCLAIMS WARRANTIES, REPRESENTATIONS, AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

TurtlesEgg does not guarantee uninterrupted or error-free Marketplace operation, continuous availability of every Seller or listing, exact delivery or Booking timing controlled by third parties, or that every fraud or security control will prevent every fraudulent or unauthorized transaction.

Nothing in this Section eliminates an eligible refund or other Customer remedy expressly provided under the Returns, Buyer Protection, or Booking sections of these Terms.

25. Limitation of Liability

AS PERMITTED BY LAW, TURTLESEGG AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST OPPORTUNITIES, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE MARKETPLACE OR THESE TERMS.

AS PERMITTED BY LAW, TURTLESEGG'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNT PAID BY YOU THROUGH TURTLESEGG FOR THE TRANSACTION GIVING RISE TO THE CLAIM.

The foregoing cap does not reduce an eligible refund, credit, or other transaction remedy that TurtlesEgg has expressly approved under these Terms.

26. Indemnification

You agree to defend, indemnify, and hold harmless Turtles Egg Inc., its affiliates, officers, directors, employees, agents, contractors, and service providers from third-party claims, liabilities, damages, losses, costs, and reasonable attorneys' fees arising from your unlawful use of the Marketplace, your User Content, your violation of another person's rights, your fraud or intentional misuse of the Marketplace, or your material breach of these Terms.

TurtlesEgg may assume control of the defense of a matter subject to indemnification, in which event you will reasonably cooperate.

27. Account Suspension and Termination

You may stop using TurtlesEgg at any time.

TurtlesEgg may restrict, suspend, or terminate an account or Marketplace access where reasonably necessary because of fraud, suspected fraud, account compromise, prohibited activity, repeated Buyer Protection abuse, payment abuse, security risk, unlawful conduct, or material breach of these Terms.

Account closure or suspension does not eliminate obligations or transaction matters that arose before closure, including pending orders, Bookings, refunds, returns, investigations, payment adjustments, TurtlesCash corrections, or amounts properly owed.

28. Changes to Marketplace Services

TurtlesEgg may add, modify, replace, restrict, suspend, or discontinue Marketplace features, providers, integrations, payment methods, categories, Products, Services, or technical functionality.

TurtlesEgg may take immediate action where reasonably necessary for security, fraud prevention, Marketplace integrity, legal compliance, payment-network requirements, financial-institution requirements, or operational continuity.

29. Updates to These Terms

TurtlesEgg may update these Terms at any time, including by modifying, supplementing, adding to, or removing provisions.

TurtlesEgg may provide notice of an update by posting the updated Terms through the Marketplace, sending notice to your registered email address, providing an account notice, or another reasonable electronic method. For a material update, TurtlesEgg will make the updated Terms available through the Marketplace and will also send notice to your registered email address or provide an account notice.

An update becomes effective on the date stated in the applicable notice or updated Terms. If no later effective date is stated, the update becomes effective when posted.

By continuing to access or use the Marketplace after an update becomes effective, you are deemed to have accepted the updated Terms.

You are responsible for maintaining a current registered email address and reviewing updates made available through the Marketplace. Failure to open or read a notice does not delay the stated effective date of an update.

If you do not agree to an update, you must discontinue Marketplace use before the update becomes effective. Discontinuing use does not eliminate transaction obligations or other provisions that survive under these Terms.

If an update materially changes TurtlesEgg's access to or use of Google user data, TurtlesEgg will also follow the disclosure and consent requirements stated in Section 7.

30. Third-Party Services and Mobile Platforms

The Marketplace may use or integrate third-party payment providers, banking services, mapping providers, identity or fraud services, shipping providers, calendar services, social platforms, app stores, communications tools, analytics providers, cloud and security providers, or other services.

Third-party services may be subject to their own terms, privacy notices, security practices, availability, and legal obligations. TurtlesEgg may change or discontinue an integration where reasonably necessary. TurtlesEgg's disclosure of personal information to third parties remains subject to Section 6 and applicable law.

If you access a TurtlesEgg mobile application through Apple, Google, or another app platform, your use may also be subject to the applicable platform terms required for that application.

31. Force Majeure

TurtlesEgg will not be responsible for delay or failure caused by circumstances outside its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, labor disputes, pandemics, government action, sanctions, utility outages, telecommunications or internet failures, cyberattacks not caused by TurtlesEgg's willful misconduct, banking or payment-network outages, third-party provider failures, transportation or carrier delays, or similar events.

32. Assignment

You may not assign or transfer your account or these Terms without TurtlesEgg's prior written consent.

TurtlesEgg may assign or transfer these Terms and its rights and obligations in connection with a merger, financing, acquisition, corporate conversion, reorganization, sale of assets, change of domicile, formation of a successor entity, or other lawful business transaction.

33. Governing Law and Venue

These Terms and any Dispute not subject to arbitration are governed by the laws of the State of Florida and applicable federal law, including the Federal Arbitration Act, without regard to conflict-of-law principles that would require application of another jurisdiction's law.

For any action not subject to arbitration or eligible for small claims court, you and TurtlesEgg consent to exclusive jurisdiction and venue in the state courts located in Collier County, Florida, or the applicable federal court serving that jurisdiction.

34. Binding Arbitration, Class Action Waiver and Jury Trial Waiver

PLEASE REVIEW THIS SECTION CAREFULLY. IT REQUIRES INDIVIDUAL BINDING ARBITRATION AND INCLUDES CLASS, REPRESENTATIVE ACTION, AND JURY TRIAL WAIVERS.

34.1 Covered Disputes

Except for the exclusions stated below, a "Dispute" means any claim, controversy, or dispute between you and TurtlesEgg arising out of or relating to these Terms, the Marketplace, an account, Product purchase, Booking, return, refund, Buyer Protection review, payment, privacy, advertising, communications, suspension, termination, or another aspect of your relationship with TurtlesEgg.

34.2 Informal Notice

Before initiating arbitration, the party asserting a Dispute must provide the other party written notice describing the nature of the Dispute and requested relief and allow at least thirty (30) days for good-faith efforts to resolve the matter. A Customer must send this notice to [email protected]. TurtlesEgg may send such notice to the email address associated with the Customer's account.

34.3 Binding Individual Arbitration

Except for a claim that may properly be brought in small claims court and a claim seeking temporary or emergency injunctive relief concerning intellectual property, account security, unauthorized access, or misuse of confidential information, an unresolved Dispute will be resolved by final and binding individual arbitration administered by JAMS under the JAMS rules applicable to the Dispute, including applicable consumer arbitration standards.

34.4 Arbitrator Authority

The arbitrator has authority to resolve disputes concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court may determine the enforceability of the class and representative action waiver where required by governing law.

34.5 Class, Collective and Representative Action Waiver

YOU AND TURTLESEGG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, OR PARTICIPANT IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate the claims of more than one Customer or preside over a class, collective, consolidated, mass, or representative proceeding unless TurtlesEgg expressly agrees in writing.

34.6 Jury Trial Waiver

YOU AND TURTLESEGG WAIVE ANY RIGHT TO A TRIAL BY JUDGE OR JURY FOR DISPUTES REQUIRED TO BE ARBITRATED.

34.7 Arbitration Costs

Arbitration fees and costs will be allocated under the applicable JAMS rules. Each party is responsible for its own attorneys' fees and expert costs unless the arbitrator determines otherwise under the governing rules or law.

34.8 Future Amendments and Survival

A future material amendment to this arbitration section will be governed by the update procedures in Section 29. A material amendment will not apply to a Dispute formally filed in arbitration or in a court of competent jurisdiction before the amendment's stated effective date.

This arbitration agreement, class and representative action waiver, and jury trial waiver survive account closure, suspension, termination, and expiration of these Terms.

35. Severability, No Waiver and Survival

If a provision of these Terms is determined to be invalid or unenforceable, that provision will be limited or modified to the minimum extent necessary and the remaining provisions will continue in effect.

TurtlesEgg's failure to enforce a provision in one instance does not waive the right to enforce that provision or another provision later.

Provisions that by their nature should survive account closure or termination will survive, including intellectual-property rights, payment and refund adjustments, privacy and record-retention obligations, limitations of liability, indemnification, arbitration, governing law, and obligations arising from transactions completed before closure.

36. No Third-Party Beneficiaries

These Terms are for the benefit of you and TurtlesEgg and do not create rights in any other person except where these Terms expressly state otherwise.

37. Entire Agreement and Order of Control

These Terms, including the Privacy Policy, Google Calendar Integration and Google API Data provisions, Returns, Refunds and Exchanges, Buyer Protection, Booking rules, TurtlesCash Terms, Gift Card and Promotional Credit terms, and other Customer policies contained in this same document, constitute the Customer agreement governing your use of the Marketplace and supersede prior Customer Terms addressing the same subject matter as of the applicable effective date.

For a specific Product, the Seller return, refund, and exchange policy displayed at the time of purchase controls ordinary Product return eligibility, subject to TurtlesEgg Buyer Protection and the Marketplace rules in these Terms.

For a Booking, Section 19 controls Customer cancellation, rescheduling, no-show, TurtlesEgg Service Fee, and completed-Service rules over a conflicting general Customer-facing statement unless TurtlesEgg expressly states otherwise for the specific transaction.

The TurtlesEgg Seller Terms of Service and Marketplace Agreement governs Seller activity and is separate from these Customer Terms.
